Terms and Conditions Clariant Open Innovation

These Terms and Conditions apply to your use of Open Innovation and in particular to your submission of ideas, innovations, problems, business proposals, requests for venture capital or the like, and information and materials (collectively your "Idea") through the Open Innovation Platform on www.clariant.com ("Open Innovation") to Clariant International Ltd. and its affiliates and subsidiaries (collectively "Clariant).

In addition to these Terms and Conditions, the terms of the Disclaimer shall apply to your use of Open Innovation.

Evaluation Process

If you wish to submit your Idea to Clariant through Open Innovation, please register with Innoget, complete the submission form and submit your Idea according to the Sugar Surfactant Open Innovation - Official Rules and the Innoget T&C. If you submit an Idea but Clariant cannot offer a suitable business opportunity at that point in time, Clariant may allocate your Idea to Clariant's global Pool of Ideas database.

Clariant is not obliged to retain or review your Idea and Clariant reserves the right to block or delete any information and materials that it determines to infringe applicable law or third-party rights at its sole discretion and without further notice to you.

No Submission of Confidential Information

Your Idea is considered non-confidential and non-proprietary and Clariant does not want to receive any confidential or proprietary information or materials through Open Innovation. By submitting your Idea to Clariant for review, you understand that Clariant will not treat the Idea confidential or proprietary and thus Clariant will not be restricted from using the Idea.

Protection of IP Rights

Do not submit to Clariant anything you consider as confidential or proprietary. You should understand that you must file for your intellectual or industrial property rights ("IP Rights") before disclosing your Idea to anyone on a non-confidential basis or you may risk losing the ability to protect your Ideas with IP Rights according to applicable law. If you worry about your IP Rights, you should consult a lawyer or patent attorney before you submit your Idea to Clariant. If you feel you cannot submit your Idea without disclosing any confidential information, please contact Clariant separately at the following contact:

We will then contact you and, if considered necessary, put a confidentiality agreement in place to make sure our mutual interests are well protected.

Right to Use

Your Idea submitted to Clariant through Open Innovation will be received by Clariant on a non-confidential basis. You agree to grant Clariant the irrevocable and unlimited right to use your Idea and the information and materials comprised therein free of charge as Clariant sees fit and to share it within Clariant and with third parties.

For this reason we ask you not to send to Clariant any information or materials that you do not wish to assign to Clariant including without limitation any confidential information and any original creative material.

Warranty and Indemnification

You warrant that you have the right to disclose the Idea and any idea, innovation, information and material comprised in your Idea to Clariant, that such disclosure does not breach any contract or obligation between you and a third party and that, to the best of your knowledge, possession or use of the Idea by Clariant does not misappropriate or infringe any IP Rights of others.

You indemnify Clariant for any damages in connection with any claim for misappropriation or infringement resulting from Clariant's possession or use of the Idea or any idea, invention, information or materials comprised in your Idea.

Compliance and System Integrity

You are responsible for any communication you submit through Open Innovation, including without limitation its truthfulness and accuracy.

You are solely responsible for compliance with all applicable laws and regulations regarding your use of Open Innovation including without limitation all applicable import/export regulations.

You will not use any device, software or routine to interfere with the proper working of Open Innovation or which is intended to damage, interfere with or surreptitiously intercept or expropriate any system, data or personal information. You will not take any actions which may undermine the integrity of Open Innovation.

Your application by electronic means is submitted at your own responsibility and risk. In particular Clariant shall not be liable for loss of data and illegal intrusion into the respective systems by third parties.

Applicable Law

These Terms and Conditions Clariant Open Innovation and thus your use of, and participation in the Surfactant Open Innovation Challenge shall be governed by and construed in accordance with the laws of Switzerland and is subject to the exclusive jurisdiction of the Courts and Tribunals of Zurich, Switzerland.
